Important Notice: Please read these Terms and Conditions carefully before engaging Lakshmi Communications for any services. By accepting a proposal or paying any advance, you agree to be bound by these terms.
1. Agreement and Acceptance
These Terms and Conditions ("Terms") constitute a binding agreement between Lakshmi Communications (hereinafter referred to as "Company", "We", "Us", or "Our") and the individual or entity engaging our services (hereinafter referred to as "Client", "You", or "Your").
By accepting a proposal, making a payment, requesting a service, or engaging with us through our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must not engage our services.
2. Services and Scope
2.1 Service Description
Lakshmi Communications provides digital services including, but not limited to:
- Website design and development
- Custom web applications
- Digital marketing campaigns
- SEO optimization
- Hosting and maintenance services
- Other services as outlined in project agreements
2.2 Scope of Work
The scope of any project shall be clearly defined in the project proposal and agreement. Services provided are limited to what is explicitly mentioned in the agreed proposal. Any work beyond the defined scope shall be considered additional work and charged separately.
2.3 Project Requirements
You agree to provide all necessary information, content, assets, and timely feedback required for project completion. Delays in providing these materials may result in project timeline extensions.
3. Quotations and Proposals
3.1 Validity
All quotations and proposals are valid for 30 days from the date of issue. Quotations may be subject to change if not accepted within this period.
3.2 Estimates vs. Fixed Quotes
Estimates provided are approximations and may vary based on final requirements, technical complexities, or scope changes. Fixed quotes are binding only if explicitly marked as such in the proposal.
3.3 Assumption of Resources
Quotes are based on assumed resource availability. In case of unavailability, we reserve the right to revise the timeline or quote with advance notice.
4. Payment Terms and Conditions
4.1 Payment Structure
Projects typically involve the following payment structure:
- Advance Payment (50%): Due upon proposal acceptance to initiate work
- Intermediate Payments: As milestones are completed (if applicable)
- Final Payment (50%): Due upon project completion and delivery
Payment terms may vary based on project type and value. The specific payment schedule shall be outlined in the individual project proposal.
4.2 Payment Methods
We accept payments through:
- Bank transfer / NEFT
- Credit card / Debit card
- Digital payment platforms (UPI, PayPal, etc.)
- Cheque (dated as agreed)
4.3 Late Payment Penalties
Payments not received by the due date will attract a late payment charge of 2% per calendar month or part thereof. For payments exceeding 30 days late, we reserve the right to suspend all work and services until payment is received.
4.4 Currency and GST
All prices are in Indian Rupees (INR) unless otherwise stated. GST (Goods and Services Tax) at the applicable rate will be charged as per Indian tax regulations and will be shown separately on invoices.
5. Advance Payment and Project Cancellation Policy
5.1 Non-Refundable Advance Payment
Once the advance payment (first installment) has been received and work has commenced on your project, the advance payment is FINAL and NON-REFUNDABLE under any circumstances.
This applies to the following situations:
- If you cancel the project after work has begun
- If you request to put the project on hold indefinitely
- If you decide to work with another service provider instead
- If project requirements change significantly and you withdraw
- If you are dissatisfied with initial deliverables or design direction
- Any other reason for project termination initiated by the client
The advance payment represents compensation for: Project initiation, resource allocation, technical setup, initial designs, planning, and work already completed. Even if the project is cancelled, this work has value and cannot be recovered.
5.2 Partial Refund for Deliverables
If work has been substantially completed (70% or more), you will be provided with deliverables created thus far. No refund will be issued, but you will receive the partially completed work as compensation.
5.3 Cancellation During Initial Consultation
If you decide to cancel before accepting the proposal and making payment, no charges apply. However, once advance payment is received, the cancellation policy outlined in Section 5.1 applies.
5.4 Company-Initiated Cancellation
If Lakshmi Communications initiates project cancellation due to client breach of these terms, we will provide a refund of unused payments minus costs already incurred. If cancellation is at our discretion without cause, a full refund will be provided.
6. Project Timeline and Delivery
6.1 Estimated Timelines
Project timelines provided in proposals are estimates based on planned resource availability and defined scope. Timelines are not guarantees and may change due to:
- Client delays in providing content, feedback, or approvals
- Technical complexities discovered during development
- Scope changes or additional requirements
- Third-party service dependencies
- Unforeseen circumstances
6.2 Revision Rounds
Included revision rounds are specified in the project proposal. Unlimited or additional revisions beyond the included rounds will be charged at our standard revision rates.
6.3 Delivery Delays
While we strive to meet agreed timelines, we are not liable for delays caused by circumstances beyond our reasonable control. We will communicate any delays promptly and provide revised timelines.
6.4 Project Delivery and Acceptance
Projects are considered delivered when all deliverables have been provided to the client. Client acceptance and feedback should be provided within 7 days of delivery. After 7 days, the project is deemed accepted, and any further changes will be billed separately.
7. Intellectual Property Rights
7.1 Pre-Existing IP
Any pre-existing intellectual property owned by Lakshmi Communications (templates, frameworks, code libraries, processes) remains our property and may be used in other projects.
7.2 Custom Work IP
Custom work created specifically for your project becomes your property upon full payment. Before final payment, all intellectual property rights remain with Lakshmi Communications.
7.3 Third-Party Content
You are responsible for ensuring that any content, images, logos, or materials you provide do not infringe on third-party intellectual property rights. You indemnify us against any claims arising from your provided content.
7.4 Attribution
We reserve the right to display completed projects in our portfolio and use them as case studies unless explicitly restricted by confidentiality agreement. We will credit you as a client unless requested otherwise.
8. Warranties and Disclaimers
8.1 Services Warranty
We warrant that services will be provided in a professional and workmanlike manner according to industry standards. However, we do not warrant that:
- Services will be completely error-free or uninterrupted
- All potential security vulnerabilities will be eliminated
- The website or application will generate guaranteed traffic or sales
- Browser compatibility with extremely outdated browsers
8.2 Third-Party Services
We are not liable for third-party services such as hosting providers, payment gateways, email providers, or APIs. We act as intermediaries and are not responsible for their performance or reliability.
8.3 Website Performance and Results
We do not guarantee specific results such as:
- Search engine rankings or traffic
- Lead generation or sales conversion rates
- Social media engagement metrics
- Return on investment (ROI)
Results depend on multiple external factors including market conditions, competition, client marketing efforts, and audience response.
9. Liability and Indemnification
9.1 Limitation of Liability
To the maximum extent permitted by law, Lakshmi Communications' total liability for any claim or damages arising from these Terms or our services shall not exceed the total amount paid by the client for the specific project in question.
9.2 Excluded Damages
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue
- Loss of business opportunity
- Loss of data or reputation damage
- Business interruption
9.3 Client Indemnification
You agree to indemnify, defend, and hold harmless Lakshmi Communications from any claims, damages, or expenses (including legal fees) arising from:
- Content or materials you provide or authorize
- Your use of services in violation of these Terms
- Your violation of applicable laws or third-party rights
- Claims by third parties related to your business or content
10. Data Protection and Privacy
10.1 Privacy Policy
Your personal information is handled according to our Privacy Policy. Please refer to our Privacy Policy for details on data collection, use, and protection.
10.2 Data Security
While we implement reasonable security measures, we do not guarantee complete security against data breaches. We are not liable for unauthorized access to systems due to factors beyond our reasonable control.
10.3 Data Retention
Upon project completion, we will retain your data for accounting and legal purposes for a period of 7 years as required by law. Personal data will be securely deleted afterward unless legal requirements mandate extended retention.
11. Jurisdication and Governing Law
11.1 Exclusive Jurisdiction
All disputes, claims, and matters arising from or relating to these Terms and Conditions, the services provided, or any project agreement shall be subject to the exclusive jurisdiction of courts located in Coimbatore, Tamil Nadu, India.
By engaging our services, you:
- Consent to the exclusive jurisdiction of Coimbatore courts
- Waive any objections to venue or inconvenient forum
- Agree not to initiate legal proceedings in any other jurisdiction
11.2 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and all applicable laws in the state of Tamil Nadu.
11.3 Dispute Resolution
Before initiating formal legal proceedings, we encourage both parties to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be referred to arbitration or litigation in Coimbatore courts.
12. Confidentiality
12.1 Mutual Confidentiality
Both parties agree to maintain confidentiality of sensitive business information shared during project engagement. This includes:
- Project details and technical specifications
- Business strategies and proprietary processes
- Financial or performance data
- Unpublished content or assets
12.2 Permitted Disclosures
Confidentiality obligations do not apply to information that:
- Is already public knowledge
- Must be disclosed by law or court order
- Is shared with team members under confidentiality agreements
- Is necessary to provide services
12.3 Portfolio Display
Unless restricted by a separate confidentiality agreement, we may display your project in our portfolio or as a case study.
13. Termination and Suspension
13.1 Termination by Client
You may terminate a project with written notice. However, the advance payment non-refund policy outlined in Section 5.1 will apply if work has commenced.
13.2 Termination by Company
We may suspend or terminate services if:
- Payments are not received by the due date
- You breach these Terms and Conditions
- You provide illegal or unethical content
- Your use violates applicable laws
13.3 Survival
Sections related to payment, intellectual property, liability, jurisdiction, and confidentiality shall survive termination of these Terms.
14. Modifications to Services
14.1 Right to Modify
Lakshmi Communications reserves the right to modify, suspend, or discontinue services with reasonable notice. Modifications will not materially reduce the value of paid services.
14.2 Changes to Terms
We may update these Terms and Conditions at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
15. Hosting and Maintenance Services
15.1 Hosting Uptime
We aim for 99.5% uptime for hosted services but do not guarantee this. Downtime arising from maintenance, updates, or third-party service issues is not considered a breach.
15.2 Backups
We maintain regular backups of your website or application. However, daily backups or recovery of data lost due to your actions is not guaranteed. You are responsible for maintaining your own backups of critical data.
15.3 Service Discontinuation
If hosting or maintenance services are discontinued, we will provide 30 days' notice. We will migrate your website to your preferred host or provide you with data files for migration.
16. Independent Contractor Status
Lakshmi Communications operates as an independent service provider. No employer-employee relationship exists. We are not responsible for employment taxes, benefits, or workers' compensation.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full effect.
18. Entire Agreement
These Terms and Conditions, along with individual project proposals and agreements, constitute the entire agreement between the parties regarding the services provided. All previous communications, negotiations, and agreements are superseded.
